This Senior Attorney will draft, review and negotiate commercial agreements, with an emphasis on data privacy and security, as well as advise on data privacy laws and regulations, including but not limited to the California Consumer Privacy Act and progeny. This role will focus on ensuring company operations collect, use and disclose personal information in compliance with North American (US and Canada) laws on privacy, data and information protection. This position reports directly to the First General Counsel.

Essential Responsibilities

  • Draft and negotiate CCPA data processing agreements and data privacy terms in commercial agreements
  • Review and negotiate vendor contracts, including SAAS, MSAs and DPAs, in partnership with Procurement and IT
  • Evaluate and negotiate customer data privacy agreements
  • Serve as the primary legal advisor on privacy and related regulatory matters
  • Draft and negotiate data privacy addendums
  • Draft external privacy notices and disclosures and internal policies and procedures to ensure compliance with privacy laws
  • Track and respond to developments in privacy, data protection and compliance laws and regulations
  • Monitor and prepare for compliance with pending U.S. privacy legislation by state
  • Analyze privacy issues as they arise and provide expert advice to business and support units as required, particularly for new services and systems
  • Serve as California Consumer Privacy Act lead compliance officer/project manager
  • Serve as Company's Canadian Privacy Officer
  • Other data security/compliance duties as needed/required.

Minimum Education & Skills Required

  • J.D. degree and membership in good standing in Ohio bar.
  • Minimum 5-7 years experience in law firm and/or in-house focused on data protection and privacy area
  • Specialized knowledge in state and federal privacy laws, including CCPA, with liaise function on Canadian privacy laws
  • Effective communicator, with the ability to establish and maintain effective relationships across the company, particularly with procurement and business teams
  • Ability to prioritize competing demands
